These Terms of Use (“Terms”) are a legal contract between you (either you as an individual or the entity or organization on whose behalf you are entering into these terms and conditions) and Sylvan Global Holdings, LP (together with its affiliates, “Sylvan Group”, “we”, “our”, or “us”) for the access to and use of our public websites, including www.sylvan-inc.com, www.andyegan.com, www.pettushvac.com, all sites hosted within or associated with these domains, and any other affiliated sites that we operate on which these Terms are posted (collectively, the “Website”). Your use of the Website shall be at all times subject to these Terms and our privacy policy located at  (“Privacy Policy”). These Terms apply to your use of this site, as well as any affiliated site operated by the Sylvan Group that links to these Terms. If you access these Terms via a link in the footer of an affiliated site, these Terms govern your use of that site and the data collected thereon. These Terms may be amended or updated from time to time. It is your sole responsibility to read and check these Terms prior to your use of the Website.

II. Authorized Users; Maintenance and Access

1. A. Restricted Areas. Certain restricted areas of the Website, or portals linked to the Website, may be available only to authorized employees or approved personnel and are not available to members of the general public. Access to and use of any such restricted areas or linked portals may be governed by separate policies made available to authorized users, in addition to these Terms. Sylvan Group may suspend, revoke, or modify access to any restricted area or linked portal at any time, in its sole discretion, including upon termination of an individual’s employment or engagement or any suspected violation of applicable policies. 
2. B. We reserve the right to perform routine system updates and maintenance on the Website at any time, with or without notice to you. We reserve the right to terminate, suspend, or modify your access to the Website at any time, in whole or in part, in our sole discretion.
3. C. By accessing or otherwise using the Website:
   1. 1. You represent and warrant that you are legally entitled to enter into these Terms;
   2. 2. You shall provide accurate, true, and current information as requested by us and shall keep it current at all times; 
   3. 3. You shall not allow any other person or entity to access or use any access credentials issued to you for a restricted area of the Website or linked portal;

   5. 5. You shall not transmit worms, viruses or any code of a destructive nature to Sylvan Group, other users, or the Website;

You shall not engage in website scraping of any kind or use spiders, robots, avatars, intelligent agents, or any other extraction or navigation search, except for a standard web browsers, generally available search engine indexing, or as otherwise expressly authorized by Sylvan Group in writing;
   7. 7. You shall not attempt to, or assist anyone to, reverse engineer, decompile, extract, disassemble, or otherwise derive the source code, underlying ideas, algorithms, or structure of any part of the Website; 
   8. 8. You shall have no right to access data or content of other users of the Website, unless such access is authorized by Sylvan Group;

You shall not use the Website or any content, data, or information obtained from it for any commercial purpose not expressly authorized by Sylvan Group, including but not limited to reselling data, soliciting Sylvan Group’s customers, clients or subcontractors, or benchmarking against competitors;

You shall not engage in any conduct that disrupts, damages, impairs, or interferes with the functioning of the Website, its servers, or any connected networks, including but not limited to denial-of-service activity, excessive automated requests, or any action that places an unreasonable load on the Website’s infrastructure; and
   11. 11. You shall not impersonate or pass yourself off as someone else, including as other Sylvan Group employees of any Sylvan Group affiliates, at any time or for any reason.

III. Shared Information; Privacy

In addition to these Terms, your use of the Website is governed by Sylvan Group’s Privacy Policy, which is posted on the Website. By continuing to access and use the Website, you agree to the Privacy Policy. The Privacy Policy and any posted terms or guidelines or legal disclaimers on the Website are hereby incorporated by reference into these Terms.

The Website may contain links to third-party websites that are not owned or controlled by Sylvan Group. Sylvan Group has no control over, and assumes no responsibility for, the content, privacy policies, or practices of any third-party websites. Sylvan Group makes no representation or warranty as to the security of links to other websites, nor does Sylvan Group make any representation or warranty as to whether such links or such other websites are free of viruses or other forms of data corruption. In addition, Sylvan Group cannot censor or edit the content of any third-party website. By using the Website, you expressly release Sylvan Group from any and all liability arising from your use of any third-party website. If you choose to use any such third-party websites, you do so at your own risk. Accordingly, Sylvan Group encourages you to be aware when you leave the Website and to read the terms and conditions and privacy policy of other websites that you visit.

SYLVAN GROUP DOES NOT WARRANT THE ADEQUACY, CURRENT NATURE, ACCURACY, OR COMPLETENESS OF THE WEBSITE OR CONTENT OR ANY THIRD-PARTY SITES LINKED TO OR FROM THE WEBSITE, OR THAT THE FUNCTIONS PROVIDED WILL BE UNINTERRUPTED, VIRUS-FREE, OR ERROR-FREE. SYLVAN GROUP EXPRESSLY DISCLAIMS ANY LIABILITY FOR ANY ERRORS OR OMISSIONS IN THE CONTENT OR ANY THIRD-PARTY SITES LINKED TO OR FROM THE WEBSITE. VII. Miscellaneous

1. A. These Terms and the Privacy Policy contain the entire agreement between Sylvan Group and you concerning your access and use of the Website, and these Terms supersede and replace any prior agreements between Sylvan Group and you regarding use of the Website. These Terms may not be modified or superseded by Sylvan Group’s acceptance of any offer from you or any other person. Other than Sylvan Group, no other person or company will be third-party beneficiaries to the Terms.
2. B. If for any reason a court of competent jurisdiction finds any provision of these Terms or portion thereof to be unenforceable, that provision shall be enforced to the maximum extent permissible so as to effect the intent of these Terms and the remainder of these Terms shall continue in full force and effect. No waiver by Sylvan Group of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default. 
3. C. These Terms shall in all respects be interpreted, enforced and governed under the laws of the State of Michigan, without regard to any rules of conflict of laws that would require the application of the laws of a state other than Michigan.
4. D. We may assign our rights or delegate our obligations under these Terms at any time. You may not assign or transfer your rights or obligations under these Terms without our prior written consent, which we may grant or refuse in our sole discretion.
